These Terms of Service govern your access to and use of Privileged (the "App"), a desktop application provided by Akash Praveen ("we," "us," or "our"). By downloading, installing, or using the App, you agree to these Terms. If you do not agree, do not use the App.
The App is intended for use by licensed attorneys and legal professionals in connection with their legal practice. By using the App, you represent that you are using it in a professional capacity and have the authority to do so.
Privileged is a software tool that uses AI running entirely on your local device to assist with contract review. The App can flag clauses, summarize terms, and surface potential issues for your review.

The App's output consists of observations only — it does not constitute legal conclusions, legal advice, or a substitute for the professional judgment of a licensed attorney. You, the attorney, remain solely and fully responsible for:
The App is a productivity tool to assist your review process, not a participant in the practice of law. Nothing in the App's output should be relied upon without independent professional review.
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to install and use the App on the number of devices permitted by your subscription tier, solely for your own professional use.

We may offer a free trial period. The trial is provided "as is," with no obligation to provide support, and may be modified, limited, or discontinued at our discretion. No payment information is required to start a trial. At the end of the trial period, continued use of full features requires an active paid subscription.
Paid use of the App is provided on a subscription basis. Billing is processed by Dodo Payments, our payment processor and Merchant of Record, which is the seller of record for all transactions. By subscribing, you also agree to Dodo Payments' applicable terms governing payment processing.
As described in our Privacy Policy, the App is designed so that document content you analyze is processed entirely on your local device and is never transmitted to us or to any third party. We have no access to, and do not store, the content of any document you analyze using the App. You remain responsible for maintaining appropriate security and confidentiality safeguards on your own device, consistent with your professional obligations.
The App is provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App's output will be accurate, complete, or error-free, or that the App will meet your requirements. AI-generated output can be incorrect or incomplete, and you are solely responsible for independently verifying any output before relying on it in any professional context.
To the maximum extent permitted by applicable law, in no event will we be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, clients, or data, arising from or related to your use of the App, including any reliance on the App's output in providing legal services to your clients. Our total aggregate liability for any claim arising out of or relating to these Terms or the App will not exceed the amount you paid us in the twelve (12) months preceding the claim.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
You agree to indemnify and hold us harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the App, your violation of these Terms, or your provision of legal services or advice to your clients, regardless of whether the App was used in connection with that advice.
We may suspend or terminate your access to the App if you violate these Terms. You may stop using the App and cancel your subscription at any time. Sections of these Terms that by their nature should survive termination (including Sections 2, 6, 7, 8, 9, and 12) will survive.
We may update the App and these Terms from time to time. If we make material changes to these Terms, we will provide notice (such as by email or an in-app notice) before the changes take effect. Continued use of the App after changes take effect constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles, except to the extent preempted by federal law.
